Global Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of our Customer Relationship Management (CRM) application (“Service”). BoldTek CRM is software designed to help businesses automate their pre- and post-sales activities and modernise their sales pipeline management.

The Service is owned and operated by BoldTek India Private Limited, an IT services company located at Guwahati, Assam, India.

These Terms apply globally to all users of the Service regardless of their country of residence.

By accessing or using our Service, you agree to comply with and be bound by these Terms.

2. Eligibility

You must be of legal age in your country of residence and legally capable of entering into a binding contract to use our Service. By using our Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.

• Maintain the security of your account credentials and promptly notify us of any unauthorized use or suspected security breach.

• Accept responsibility for all activities that occur under your account.

4. Use of Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable law or regulation in your jurisdiction.

• Engage in any unauthorized use of the Service, including unauthorized access to or misuse of our systems or data.

• Transmit any harmful code, malware, or content that disrupts the integrity or performance of the Service.

• Use the Service to send unsolicited commercial communications (spam) in violation of applicable law.

• Attempt to reverse engineer, decompile, or extract the source code of the Service.

5. Subscription and Payment

Our Service is offered on a subscription basis with different pricing plans. Fees are denominated and charged in Indian Rupees (INR) for users based in India, and in United States Dollars (USD) for users in all other countries. By subscribing to our Service, you agree to pay all fees associated with your chosen plan.

We reserve the right to change our pricing at any time. However, any pricing changes will be communicated to you with a minimum of 30 days’ advance notice before taking effect. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.

Payments are processed through our authorised payment providers. You are responsible for all applicable taxes in your jurisdiction, which may be added to your invoice as required by law.

6. Free Trial

We may offer a free trial period for new users. The duration and features included in the free trial may vary. If you do not cancel your subscription before the end of the free trial period, you will be automatically charged according to your selected plan.

No credit card may be required during the free trial, but payment information will be required to convert to a paid plan.

7. Refund Policy

Monthly Subscriptions: We do not provide refunds for monthly subscription payments. You may cancel your subscription at any time, and your access will continue until the end of the current billing period.

Annual Subscriptions: We want you to be completely satisfied with our Service. If you are dissatisfied at any time during your first 60 days of using our Service on an annual plan, please reach out to us at crm@boldtek.com. We will do our best to resolve your issue or offer suitable alternatives.

If we are unable to resolve your concern to your satisfaction within that period, we are happy to offer a refund of your annual subscription payment and downgrade your account to the free plan.

Refunds, where applicable, will be processed to the original payment method within 10 business days.

8. Data Privacy

Your use of the Service is subject to our Privacy Policy, which outlines how we collect, process, use, and protect your personal information. By using the Service, you consent to our collection and use of your data as described in the Privacy Policy.

We are committed to responsible data handling and maintain appropriate technical and organisational security measures to protect your data. We do not sell your personal data to third parties.

9. Intellectual Property

All content, trademarks, software, and intellectual property associated with the Service are owned by BoldTek India Private Limited or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your internal business purposes.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any portion of the Service or its content without our prior written consent.

10. Termination

We may terminate or suspend your access to the Service at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or to us.

You may cancel your subscription at any time through your account settings. Upon termination or cancellation, your right to use the Service will immediately cease. Any outstanding fees remain due and payable.

11. Limitation of Liability

To the maximum extent permitted by applicable law, BoldTek India Private Limited shall not be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of or in connection with your use of the Service.

Our total cumulative liability for any claims arising from these Terms or the Service shall not exceed the total amount you paid to us for the Service in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death, personal injury, fraud, or any other liability that cannot be excluded or limited under applicable law.

12. Artificial Intelligence and Third-Party Tools Usage

We use AI features powered by the Google Gemini model within our CRM platform to enhance functionality and improve user experience. Please note:

• AI-driven features may assist in generating responses, recommendations, or insights, but the content produced is automated and may not always be accurate or up to date.

• Verification, factual correctness, and reliance on AI-generated outputs remain the sole responsibility of the user.

• We do not assume liability for any decisions made based on AI-generated content.

• Use of third-party tools integrated into the Service is subject to the respective terms and privacy policies of those third parties.

13. Indemnification

You agree to indemnify, defend, and hold harmless BoldTek India Private Limited, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your infringement of any intellectual property or other rights of any third party.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Guwahati, Assam, India.

We encourage you to contact us first at crm@boldtek.com to attempt to resolve any dispute informally before initiating formal legal proceedings.

Where mandatory local laws in your jurisdiction require disputes to be resolved in your local courts or through local mechanisms, those laws shall prevail to the extent required.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you with a minimum of 30 days’ advance notice via email or a prominent notice within the Service.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service before the effective date.

16. Hosting Location

The Service is hosted on third-party cloud infrastructure. Depending on the availability and configuration of our cloud service provider, your data may be stored in data centres located in any region globally. We do not guarantee that your data will be stored in any specific country or jurisdiction.

We take appropriate technical and organisational measures to protect your data regardless of where it is stored. By using the Service, you acknowledge and consent to the transfer and storage of your data across international locations as part of our cloud hosting arrangements.
